1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FromYou LLC, a Delaware limited liability company ("Joyi.ai," "we," "us," or "our"), governing your use of the joyi.ai website and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Joyi.ai is an AI-powered image generation and transformation service that allows users to create and modify digital images. Our Service uses artificial intelligence and machine learning technology to generate, transform, and enhance images based on user inputs and templates called "vibes."

Image Storage: We may store images you upload and images generated through our Service to provide, maintain, and improve our services. Please refer to our Privacy Policy for details on how we handle your data.

3. User Accounts and Registration

You may be required to register for an account to access certain features of the Service. When creating an account, you agree to:

4. Acceptable Use Policy

• Upload images depicting violence, hate speech, or harassment

• Resell or redistribute the Service without explicit written permission

5. Intellectual Property Rights

Your Content: You retain all rights to the images you upload and process through our Service. By using the Service, you grant us a limited, temporary license to process your images solely for the purpose of providing the Service. This license terminates immediately upon completion of processing.

Our Content: The Service, including its design, features, functionality, and underlying technology, is owned by FromYou LLC and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service.

6. Payment and Subscriptions

Certain features of the Service may require payment. By purchasing a subscription or credits, you agree to:

• Provide accurate payment information
• Pay all fees and charges at the prices in effect when incurred
• Pay applicable taxes
• Authorize us to charge your payment method for recurring subscriptions

Refunds: Payments are generally non-refundable except as required by law or as explicitly stated in our refund policy. Unused credits may expire according to their terms.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FROMYOU LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless FromYou LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any third-party rights
• Any content you upload or process through the Service

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Service prior to the changes becoming effective. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

14. General Provisions

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

Entire Agreement: These Terms constitute the entire agreement between you and FromYou LLC regarding the Service and supersede all prior agreements.

Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
